These terms cover your use of payments.token-gesture.com. They are not the agreement that governs payment processing; that is the Merchant Agreement, which applies only once an application has been approved and accepted.

1. Who we are

This site is operated by Gallantree Pty Ltd (ABN to confirm), trading as Token Gesture, of registered office to confirm. “We”, “us” and “our” mean that company.

2. The site is information, not an offer

Everything published here — the rate cards, the settlement terms, the reserve percentages, the cost calculator — is indicative and subject to underwriting. No rate shown is an offer capable of acceptance, and nothing on this site creates a contract between us.

The rate you are offered follows from your file: your category, your processing history, your dispute ratio and your prior processor relationships.

3. The calculator

The estimator on the pricing page multiplies the inputs you give it by the published rate card. It is arithmetic, not a quote, and it deliberately excludes what happens once a dispute ratio passes a scheme monitoring threshold. Treat its output as a floor.

4. Developer documentation

The API reference describes a service under active construction. Endpoint shapes, event names and SDK signatures are published so you can evaluate the integration, and they may change before you are boarded. Where the documentation describes behaviour that will surprise you — that plan changes always schedule, that an account with no subscription returns 200 rather than 404, that webhook delivery is a single attempt — it is describing the service accurately, not warning you off it.

The site, its copy, its diagrams and the SDK documentation are ours. The @token-gesture/billing client is licensed separately under the terms in its package.

7. No warranty, and what we are liable for

The site is provided as is. We do not warrant that it will be available without interruption or that every figure on it is current — third-party rates in the comparison table are published figures, sourced and dated on the page, and the companies publishing them may have changed them since.

To the extent permitted by law, and without excluding any consumer guarantee that cannot be excluded, our liability arising from your use of this site is limited to limit to confirm with counsel.

8. Changes, and the law that applies

We may change these terms. The version in force is the one published here, and each version carries the date it took effect. These terms are governed by the law of New South Wales — to confirm against the registered office.
